These Terms of Service ("Terms") govern your access to and use of Signal ("Service"), operated by Signal at signalppc.com. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Signal is an automated Google Ads audit platform that provides account analysis, performance scoring, and recommendation reports for Google Ads accounts. The Service connects to Google Ads accounts via read-only OAuth authorization, retrieves advertising performance data, and generates audit reports delivered via email or a web-based review portal.
Signal offers the following products:
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the legal authority to enter into these Terms, either on your own behalf or on behalf of the organization you represent.
Certain features of the Service require you to authorize Signal to access your Google Ads account data via Google OAuth. By granting this authorization, you confirm that:
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Payments for paid plans are processed through Stripe. By purchasing a paid plan, you authorize Signal to charge your payment method for the applicable fees.
One-time purchases (SMB Audit, Agency Pay Per Audit) are charged at the time of purchase. The audit report will be generated and delivered upon successful payment confirmation.
Agency subscription plans (Starter, Pro) are billed monthly on the date of initial purchase. Subscriptions renew automatically unless cancelled. You may cancel your subscription at any time through your billing portal; cancellation takes effect at the end of the current billing period.
All sales are final. Signal does not offer refunds on completed audit reports. Once an audit has been generated and delivered, the purchase is non-refundable. This applies to one-time purchases and pay-per-audit purchases.
For monthly subscription plans, no prorated refunds are issued for unused portions of a billing period following cancellation. If you believe you were charged in error, contact us at admin@signalppc.com within 14 days of the charge and we will investigate.
Signal reserves the right to issue a refund at its sole discretion in exceptional circumstances.
The Service, including all software, reports, analyses, scoring methodology, visual design, and content generated by Signal, is owned by Signal and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the reports generated for your own business purposes.
You may share audit reports with your clients as part of your agency services. You may not resell, republish, or represent Signal's output as independently developed analysis without permission.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SIGNAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR SPECIFIC PURPOSES.
Audit reports and recommendations are based on available data at the time of analysis and represent our best assessment. Actual results from implementing recommendations may vary. Signal is not responsible for business outcomes resulting from actions taken based on our reports.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGNAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SIGNAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Signal's total liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the total amount you paid to Signal in the 12 months preceding the claim, or (b) $100.
You agree to indemnify, defend, and hold harmless Signal and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
The Service integrates with third-party platforms including Google (OAuth and Ads API), Stripe (payments), OpenAI (AI analysis), Airtable (data storage), and Netlify (hosting). Your use of the Service is subject to the terms and privacy policies of these third parties. Signal is not responsible for the practices of third-party services.
Signal reserves the right to modify or discontinue the Service at any time without notice. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms to this page with a new effective date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction in such courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signal with respect to the Service and supersede all prior agreements, understandings, and communications.
